Reseller Policy

Authorized Resale & Quality Policy
By purchasing Variety Articles’ services for resale, you agree to comply with this Reseller Policy (the “Policy”), which is incorporated into and forms part of the Terms and Conditions (“T&C”) and any agreement between Variety Articles and the Reseller.
This Policy governs the authorized resale of Variety Articles’ digital services, consulting services, service packages, subscriptions, and promotional offerings (collectively, the “Services”).
In the event of any conflict between this Policy and the T&C, the T&C shall prevail.
- Authorized Reseller Status
Variety Articles authorizes certain resellers (“Resellers”) to market and resell its Services as premium professional offerings, subject to strict compliance with this Policy.
Resellers must:
- Preserve the premium positioning of the Services
- Provide accurate representations
- Deliver professional customer support
- Comply with all applicable laws and regulations
This Policy is unilateral and non-negotiable unless expressly modified in writing by Variety Articles.
- Sales to End Users Only
Unless expressly authorized in writing:
- Reseller may only resell Services directly to end-user customers
- Reseller may not resell to other resellers, aggregators, brokers, or for further redistribution
Unauthorized sub-distribution is strictly prohibited.
- Online Sales Restrictions
Reseller may not sell, advertise, or offer Services online unless:
- Expressly approved in writing by Variety Articles; and
- Operating under a separate Authorized Online Reseller Agreement, if required
Unauthorized digital listings or marketplace sales are prohibited.
- Territorial Restrictions
If a Reseller agreement defines a geographic territory, Reseller must strictly comply with those territorial limitations.
Active or passive sales outside the authorized territory may constitute material breach.
- Intellectual Property License
Subject to compliance with this Policy, Variety Articles grants Reseller a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Variety Articles’ trademarks, branding elements, and marketing materials solely for authorized resale purposes.
Reseller shall not:
- Modify or alter any trademark or copyrighted material
- Register domain names or social media accounts incorporating Variety Articles’ marks
- Use branding in a misleading or damaging manner
- Suggest partnership, exclusivity, or ownership beyond authorization
Violation results in automatic revocation of the license.
- Alignment with Return & Refund Policy
Reseller acknowledges and agrees that:
- All end-user refunds are governed exclusively by Variety Articles’ official Return & Refund Policy
- Administrative fees, processing fees, non-refundable deposits, and gateway charges may apply
- “Service Commencement” is defined in the T&C and Return & Refund Policy and may occur prior to final delivery
6.1 Definition of Service Commencement
For reseller transactions, “Service Commencement” includes, but is not limited to:
- Scheduled service start date
- Onboarding initiation
- Allocation of personnel or internal resources
- Strategic planning, drafting, or preparatory work
- Delivery of partial or complete digital deliverables
- Activation of subscription access
Once Service Commencement has occurred, refund eligibility may be limited or eliminated in accordance with the Return & Refund Policy.
Reseller agrees not to offer refund terms inconsistent with Variety Articles’ official policies.
- Sales Practices and Representations
Reseller shall:
- Conduct business ethically and lawfully
- Avoid deceptive, misleading, or exaggerated claims
- Refrain from offering unauthorized warranties, guarantees, or refund terms
- Accurately communicate service scope and limitations
Reseller may not alter pricing structures, refund conditions, or contractual language without written approval.
- Customer Service Obligations
Reseller must maintain adequate customer service capabilities, including:
- Email support
- Complaint handling procedures
- Documentation retention
- Refund request forwarding procedures
At Variety Articles’ request, Reseller must provide:
- Date of purchase
- Date of resale
- Customer identity (subject to applicable privacy laws)
- Records of communications
- Proof of policy acceptance
- Consumer Safety and Service Cancellations
Reseller shall cooperate fully with Variety Articles in connection with:
- Service cancellations
- Consumer protection inquiries
- Regulatory investigations
- Risk mitigation efforts
Failure to cooperate constitutes material breach.
- Disputes and Chargebacks (Mandatory Procedure)
Reseller agrees to comply with the following structured dispute process.
10.1 Mandatory Pre-Chargeback Resolution
Before initiating or supporting any chargeback, dispute, or reversal with a payment processor, Reseller must:
- Notify Variety Articles in writing at [email protected]
- Provide complete documentation of the end-user complaint
- Allow up to seven (7) business days for investigation and response
Failure to follow this process constitutes a violation of this Policy.
10.2 Disputes After Service Delivery or Consumption
If the Service has already been:
- Accessed
- Delivered in whole or in part
- Downloaded
- Performed
- Or materially commenced
The transaction shall be considered valid.
Variety Articles reserve the right to formally contest any chargeback using documented evidence.
10.3 Evidence Submission
In the event of a dispute, Variety Articles may submit:
- Proof of Service Commencement
- Usage logs or access confirmations
- Delivered files or work product
- Email communications
- Acceptance of T&C and policies at checkout
- IP logs and transactional confirmations
Reseller agrees to cooperate fully in providing supporting documentation.
10.4 Liability for Improper or Abusive Chargebacks
If a chargeback arises due to:
- Misrepresentation by Reseller
- Unauthorized refund promises
- Failure to communicate policies properly
- Fraudulent or abusive dispute support
Variety Articles may:
- Recover chargeback fees from Reseller
- Offset amounts against commissions or future payments
- Suspend or terminate Reseller status
- Pursue legal remedies.
- Reporting Unauthorized Resellers
Reseller must promptly notify Variety Articles if it becomes aware of unauthorized resale activity.
- Compliance Audits
Variety Articles may request documentation to verify compliance with:
- Refund policies
- Marketing practices
- Pricing representations
- Territorial restrictions
Failure to provide documentation may result in suspension.
- Termination for Policy Violation
If Variety Articles determines that Reseller violates this Policy, it may:
- Suspend or terminate Reseller status
- Refuse to accept new orders
- Withhold commissions
- Revoke intellectual property licenses
- Pursue legal remedies
Termination may be immediate in cases of material breach.
- Unilateral Policy Updates
Variety Articles reserves the right to update or modify this Policy at any time.
Updates take effect upon publication.
Continued resale activity constitutes acceptance of the revised Policy.
